LEGAL AGREEMENT

Introduction

Welcome to winq. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Player", "You", "Your") and winq ("Company", "We", "Us", "Our") governing your access to and use of the winq online gaming platform, including our website located at winq.cam, mobile applications, and all related services (collectively, the "Service" or "Platform").

By accessing, registering for, or using any part of the winq Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety, together with our Privacy Policy and any other applicable policies referenced herein. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility Requirements

1.1 Age Restriction

You must be at least twenty-one (21) years of age or the legal age for gambling in your jurisdiction, whichever is greater, to create an account and use the winq Service. By registering for an account, you represent and warrant that you meet this age requirement. We reserve the right to request proof of age at any time, and failure to provide satisfactory verification may result in immediate account suspension and forfeiture of all funds.

1.2 Geographic Restrictions

The winq Service is intended for users located in the Republic of the Philippines. You represent and warrant that you are physically located within Philippine territory when accessing and using the Service. Use of the Service from jurisdictions where online gambling is prohibited or restricted is strictly forbidden. We employ geolocation technology to verify your physical location, and any attempt to circumvent these geographic restrictions constitutes a material breach of these Terms.

1.3 Legal Capacity

You must have the legal capacity to enter into binding contracts under Philippine law. You represent that you are not subject to any legal disability or restriction that would prevent you from entering into this Agreement. If you are accessing the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

1.4 Restricted Persons

The following persons are prohibited from using the winq Service:

• Persons under the age of twenty-one (21) years
• Persons listed on any self-exclusion database or responsible gaming register
• Employees, directors, officers, consultants, or agents of winq or its affiliates
• Immediate family members or household members of winq employees
• Persons located in jurisdictions where online gambling is illegal
• Persons who have had accounts previously closed by winq for violation of these Terms
• Professional players or individuals engaged in systematic exploitation of bonuses or promotional offers

2. Account Registration and Security

2.1 Account Creation

To access certain features of the winq Service, you must create an account by providing accurate, current, and complete information as prompted by our registration form. You agree to provide true and accurate information during registration, including but not limited to your full legal name, date of birth, residential address, valid email address, and mobile phone number. You may only create one (1) account per person. Multiple accounts, duplicate accounts, or accounts created using false information are strictly prohibited.

2.2 Identity Verification (KYC)

In compliance with Philippine anti-money laundering regulations and our commitment to responsible gaming, winq requires all users to complete a Know Your Customer (KYC) verification process. You must provide valid government-issued identification documents, proof of address, and such other documents as we may reasonably request. Acceptable forms of identification include:

• Philippine passport
• Driver's license issued by the Land Transportation Office
• Unified Multi-Purpose ID (UMID)
• Social Security System (SSS) ID
• Professional Regulation Commission (PRC) ID
• Philippine Postal ID
• Valid government-issued voter's ID

We reserve the right to request additional documentation at any time. Failure to complete KYC verification within thirty (30) days of account creation or upon request may result in account restrictions, including suspension of withdrawal privileges.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to:

• Create a strong, unique password not used for other online services
• Not share your account credentials with any third party
• Immediately notify winq of any unauthorized access or security breach
• Log out of your account at the end of each session
• Use secure internet connections and avoid public Wi-Fi for account access

You are solely responsible for all activities that occur under your account, whether or not authorized by you. winq shall not be liable for any loss or damage arising from your failure to maintain account security.

2.4 Account Information Updates

You must promptly update your account information if any details change, including changes to your name, address, email, or phone number. Failure to maintain accurate account information may result in service interruptions, inability to withdraw funds, or account suspension.

3. Deposits and Withdrawals

3.1 Deposits

All deposits to your winq account must be made in Philippine Pesos (PHP) using approved payment methods, which currently include GCash, PayMaya, bank transfers through BPI, BDO, Metrobank, UnionBank, and other authorized financial institutions. The minimum deposit amount is One Hundred Pesos (₱100.00). You may only deposit funds from payment accounts or financial instruments that are registered in your own name. Third-party deposits are strictly prohibited and will result in immediate confiscation of deposited funds and potential account closure.

3.2 Source of Funds

You represent and warrant that all funds deposited into your winq account are derived from legitimate sources and do not represent proceeds of criminal activity, including but not limited to money laundering, terrorist financing, fraud, or corruption. We reserve the right to investigate the source of deposited funds and request supporting documentation at our sole discretion.

3.3 Withdrawals

You may request withdrawal of your account balance at any time, subject to completion of KYC verification and satisfaction of any applicable wagering requirements. Withdrawals are processed to the same payment method used for deposits, unless alternative arrangements are approved by winq management. Withdrawal processing times vary by payment method:

• GCash and PayMaya: 5-15 minutes
• Bank transfers: 1-2 hours during business hours
• International methods (if applicable): 3-5 business days

The minimum withdrawal amount is One Hundred Pesos (₱100.00). There is no maximum withdrawal limit for verified accounts in good standing, though we reserve the right to implement transaction limits at our discretion.

3.4 Fees and Charges

winq does not charge fees for deposits or withdrawals. However, your payment provider or financial institution may impose their own fees, for which winq bears no responsibility. Any currency conversion fees imposed by payment processors are the sole responsibility of the user.

3.5 Anti-Money Laundering Compliance

In accordance with Philippine Anti-Money Laundering Act (AMLA) requirements, we maintain strict policies to prevent money laundering and terrorist financing. All accounts are subject to transaction monitoring, and suspicious activity will be reported to appropriate authorities. We reserve the right to refuse, delay, or reverse any transaction that raises compliance concerns.

4. Gaming Rules and Conduct

4.1 Fair Play

All games offered on the winq platform use certified Random Number Generators (RNG) or, in the case of live dealer games, physical randomization devices. You acknowledge that all gaming outcomes are determined by chance and that past results do not influence future outcomes. We do not guarantee any particular result or level of winnings.

4.2 Game Rules

Each game available on the winq platform has specific rules, payout tables, and betting limits. You are responsible for understanding the rules of any game before placing real money wagers. Game rules are available within each game interface and take precedence over any conflicting information elsewhere on the platform.

4.3 Betting Limits

We reserve the right to establish minimum and maximum betting limits for each game type. These limits may vary based on your account status, game type, and other factors. We may modify betting limits at any time without prior notice.

4.4 Technical Issues

In the event of technical malfunctions, system errors, or communication failures that affect game outcomes, winq reserves the right to void affected bets and refund stakes. We make reasonable efforts to ensure platform stability but do not guarantee uninterrupted service. You accept that technical issues may occasionally occur and that winq's liability in such cases is limited to refunding affected wagers.

4.5 Sports Betting Rules

For sports betting services, all bets are subject to our Sports Betting Rules, which form part of these Terms. In the event of postponed, abandoned, or cancelled events, specific settlement rules apply as detailed in the Sports Betting Rules. We reserve the right to refuse or limit any sports bet at our discretion.

5. Bonuses and Promotions

5.1 Bonus Terms

winq may offer bonuses, free spins, promotional credits, and other incentives to users from time to time. All bonuses are subject to specific Terms and Conditions that govern eligibility, wagering requirements, maximum bet limits, game restrictions, and expiration dates. These bonus-specific terms are published with each promotion and form part of these Terms by reference.

5.2 Wagering Requirements

Unless otherwise specified, all bonuses are subject to wagering requirements before bonus funds or associated winnings can be withdrawn. Wagering requirements specify the number of times you must wager the bonus amount or bonus plus deposit amount. Only bets placed with bonus funds contribute to wagering requirements. Different games contribute different percentages toward wagering requirements as specified in the applicable bonus terms.

5.3 Bonus Abuse

You may not abuse bonuses or promotional offers. Prohibited activities include but are not limited to:

• Creating multiple accounts to claim bonuses multiple times
• Engaging in coordinated or fraudulent betting patterns
• Exploiting technical errors or system vulnerabilities
• Using bonuses solely for arbitrage or low-risk betting strategies
• Any other activity that defeats the legitimate purpose of promotional offers

We reserve the right to forfeit bonuses and associated winnings, void bets, and close accounts of users engaged in bonus abuse.

5.4 Right to Modify or Cancel Promotions

winq reserves the right to modify, cancel, or discontinue any bonus or promotion at any time without prior notice. We may also exclude individual users from specific promotions at our sole discretion.

6. Intellectual Property Rights

6.1 Ownership

All content, features, and functionality on the winq platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software code, and the compilation and organization thereof (collectively, "Content"), are the exclusive property of winq, its licensors, or content providers and are protected by Philippine and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, winq grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial entertainment purposes only. This license does not include any right to:

• Reproduce, distribute, modify, or create derivative works of the Content
• Reverse engineer, decompile, or disassemble any software or technology used in the Service
• Use automated systems, bots, or scripts to access the Service
• Frame, mirror, or otherwise incorporate any portion of the Service into another website or application
• Use the Service for commercial purposes or in connection with any competing service

6.3 Trademarks

The winq name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of winq or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans displayed on the Service are the trademarks of their respective owners.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

1. Fraudulent Activity: Using fraudulent, stolen, or otherwise unauthorized payment methods; engaging in credit card fraud; or providing false information during registration or verification.
2. Collusion and Cheating: Colluding with other players; using artificial intelligence, bots, or automated systems; exploiting software vulnerabilities; or employing any strategy that gives you an unfair advantage.
3. Account Misuse: Creating multiple accounts; allowing others to use your account; buying, selling, or transferring accounts; or sharing account credentials.
4. Illegal Activity: Using the Service for money laundering, terrorist financing, or any other illegal purpose; depositing funds derived from criminal activity.
5. System Interference: Attempting to gain unauthorized access to winq systems; interfering with the proper functioning of the Service; introducing viruses, malware, or other harmful code.
6. Data Mining: Using automated means to extract data from the platform; scraping content; or collecting user information without consent.
7. Abusive Conduct: Harassing, threatening, or abusing other users or winq staff; using offensive language; or engaging in discriminatory behavior.
8. Circumvention: Attempting to circumvent geographic restrictions, age verification, account limits, or bonus restrictions.
9. Unauthorized Commercial Use: Using the Service for commercial purposes without written authorization; advertising or promoting competing services.

8. Account Suspension and Termination

8.1 Suspension by winq

We reserve the right to suspend or restrict access to your account at any time, with or without notice, if we reasonably believe that:

• You have violated these Terms or any applicable law or regulation
• Your account activities raise security or fraud concerns
• You have failed to complete KYC verification when requested
• Your account shows patterns of problem gambling behavior
• We are required to do so by law or regulatory authority

8.2 Termination by winq

winq may terminate your account and these Terms immediately, without prior notice, if:

• You materially breach these Terms
• You engage in fraudulent, illegal, or prohibited activities
• You provide false or misleading information
• Your account remains inactive for more than twelve (12) consecutive months
• We determine, in our sole discretion, that continuing the relationship poses unacceptable risk

8.3 Termination by User

You may close your account at any time by contacting customer support. Upon account closure, you must withdraw all remaining funds within thirty (30) days. After this period, any remaining balance will be subject to administrative fees.

8.4 Effects of Termination

Upon termination of your account:

• Your right to access and use the Service immediately ceases
• All pending bets will be settled according to applicable rules
• Valid winnings will be paid out according to standard procedures
• Unredeemed bonuses and promotional credits will be forfeited
• We may retain certain information as required by law or for legitimate business purposes

Sections of these Terms that by their nature should survive termination shall survive, including provisions regarding intellectual property, disclaimers, limitations of liability, and dispute resolution.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE WINQ SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WINQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

winq does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You assume all risk associated with your use of the Service.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, WINQ, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL WINQ'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE DEPOSITED INTO YOUR ACCOUNT DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless winq, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation

10. Dispute Resolution

10.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

10.2 Complaints Procedure

If you have a complaint regarding the Service, you must first contact our customer support team. We will make reasonable efforts to resolve your complaint within thirty (30) days of receipt. All complaints must be submitted in writing via email or through our customer support portal.

10.3 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved through our complaints procedure shall be resolved through binding arbitration administered by the Philippine Dispute Resolution Center, Inc. or similar arbitration body in accordance with its arbitration rules then in effect.

The arbitration shall be conducted in English in Metro Manila, Philippines. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

10.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and winq individually. To the fullest extent permitted by law, you agree that:

• No arbitration or proceeding shall be joined with any other
• No dispute shall be arbitrated on a class-action basis
• You waive any right to participate in a class action against winq

10.5 Time Limitation

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

11. General Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and winq regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

11.2 Amendment

We reserve the right to modify these Terms at any time in our sole discretion. We will notify you of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the Service following such notification constitutes acceptance of the modified Terms. If you do not agree to the modifications, you must cease using the Service.

11.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms without affecting the validity or enforceability of the remaining provisions.

11.4 Waiver

No waiver by winq of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by winq to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

11.5 Assignment

You may not assign or transfer these Terms or your account to any third party without winq's prior written consent. winq may assign these Terms or any rights hereunder without your consent to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

11.6 Force Majeure

winq shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

11.7 Language

These Terms are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.
